Quick answer

A second mortgage business loan is a registered mortgage that ranks behind an existing first mortgage. It lets you borrow against spare equity for a business purpose without refinancing or disturbing your current loan. Second mortgages run from $20,000 to $5,000,000, are assessed on combined LVR and the exit, and need no valuation before approval.

Key points

  • Your existing first mortgage, its pricing and its term stay exactly as they are
  • Sized on combined LVR: first mortgage plus the new loan against the property value
  • Some first mortgagees require consent; a caveat can bridge the wait
  • Interest can be prepaid or added to the loan
  • Discharged when repaid, leaving the first mortgage untouched

What is a second mortgage business loan?

Most business owners who own property already have a loan against it. Often it is a perfectly good loan: competitive pricing, a long term, a bank relationship built over years. Refinancing the whole thing to release some equity for the business would mean new paperwork for the entire debt, possible break costs and a slower process. A second mortgage avoids all of that.

A second mortgage is a new, separate loan registered on the title behind the existing first mortgage. The first lender keeps its first-ranking position. The second lender relies on the equity between what is owed to the first lender and what the property is worth. When the business need is met, the second mortgage is repaid and discharged, and the first mortgage carries on as though nothing happened.

When does a second mortgage make sense?

  • Your first mortgage is worth keeping. Low pricing, a fixed term you do not want to break, or a lender you want to stay with.
  • You need a moderate amount for a defined period. A tax bill, a stock purchase, a deposit, a short cash flow gap.
  • Speed matters. A second mortgage involves only the new loan; nothing about the existing loan needs to be renegotiated.
  • The bank will not lend more. Banks often cap top-ups on income tests even where there is plenty of equity. A secured private lender looks at the equity and the exit instead.

How the numbers work

The lender adds your first mortgage to the proposed second mortgage and compares the total with the property value. That combined LVR has to sit within its limit for the property type and location.

Item Illustrative figure
Property value (house, metropolitan) $1,400,000
First mortgage limit $640,000
Combined LVR cap for this example 75% of value = $1,050,000
Room behind the first mortgage $410,000
Capitalised interest and fees to allow for $35,000
Indicative second mortgage headroom $375,000

Illustrative only; actual caps depend on the property, location and exit. Note the first mortgage limit is used rather than the balance if the loan has a redraw, because that money could be drawn ahead of the second lender. Run your own figures in the second mortgage headroom calculator.

Some first mortgage contracts say the borrower cannot grant another mortgage without the first lender’s consent. Others only need notice. Consent can take anywhere from a few days to a few weeks, depending on the lender. When the business need cannot wait, a caveat loan can protect the second lender’s interest immediately, and a caveat can later be converted to a registered second mortgage once consent is in hand. Our guide to first mortgagee consent explains the process.

What can a second mortgage fund?

Any business purpose. Common examples include:

  • clearing ATO debt before it escalates, including amounts behind a director penalty notice
  • a deposit or settlement shortfall on business premises
  • stock, materials or equipment for a contract already won
  • payroll during a slow quarter
  • repaying an expensive short-term lender
  • buying out a business partner

Repaying a second mortgage

Second mortgages are normally interest-only, with interest either prepaid at settlement or added to the loan. The full balance is repaid at the exit, which might be the sale of a property, a refinance that consolidates both loans, a business sale, or a known payment such as a contract milestone. If the exit takes longer than planned, the loan is flexible and can remain in place; just raise it early. When a refinance consolidates both loans into one, it repays the second mortgage on the settlement day and the discharge is lodged at the same time.

Second mortgage or full refinance?

Question Second mortgage Full refinance
Is the existing loan good value? Keep it Replace it
How long is the need? Months to a year or two Long term
Is the existing lender cooperative? Needed if consent is required Not needed
How much is needed? Moderate Large relative to the property

Our guide comparing caveats and second mortgages covers the shorter-term choice in more detail.

Things to check before you sign

  • the total cost in dollars over the expected term, not just the headline pricing
  • what happens if the exit runs late, and how an extension is arranged
  • whether the first mortgagee needs consent or notice
  • whether any guarantor needs independent legal advice
  • early repayment terms, in case the exit arrives sooner

An illustrative second mortgage

Illustrative only. A couple run a commercial cleaning company through their family trust. Their home carries a bank loan with several years left on an attractive fixed term. A large facilities contract starts next month and needs a fleet of equipment and two months of wages before the first invoice is paid. Breaking the fixed loan would cost money and the bank’s top-up process needs updated financials that are not ready.

A second mortgage over the home funds the equipment deposits and the wage gap. Interest is added to the loan, so there is nothing extra to find each month. Nine months later, with the contract running and the accounts lodged, the company refinances the equipment into longer-term finance and pays out the second mortgage from retained earnings. The fixed home loan never changed, and the discharge left the title exactly as it was.

Find out how much room is behind your bank

Frequently asked questions

Do I need my bank's permission for a second mortgage?

It depends on your first mortgage contract. Some require consent before another mortgage is registered, others only require notice. Your specialist will check, and where consent will be slow a caveat can protect the lender in the meantime.

How much can I borrow on a second mortgage?

The combined total of your first mortgage and the second mortgage must sit within the lender's maximum LVR for that property. The second mortgage headroom calculator shows the room behind your bank.

Will a second mortgage affect my home loan?

Your home loan's rate, repayments and term do not change. The bank simply has another registered interest behind it on the title.

Can a second mortgage be used to pay the ATO?

Yes. Clearing tax arrears is one of the most common business purposes for second mortgages, particularly where a director penalty notice or garnishee is a risk.

What happens when the second mortgage is repaid?

The second mortgage is discharged from the title. Your first mortgage carries on as before.
